3. User Obligations and Responsibilities
You agree to:
- Provide accurate, current, and complete information when engaging our services.
- Respond promptly to requests for approvals, feedback, and required assets.
- Ensure that all materials you provide do not infringe any third-party rights, including copyright, trademark, privacy, moral rights, publicity rights, or other proprietary rights.

- Use the final deliverables only in accordance with the agreed license or assignment terms.
You must not use our services or deliverables for unlawful, misleading, defamatory, hateful, discriminatory, infringing, or otherwise harmful purposes.
4. Payment Terms and Conditions
Unless otherwise stated in a written agreement, all fees are quoted in Canadian dollars (CAD) and are exclusive of applicable taxes, including GST/HST/PST where applicable.
- A deposit may be required before work begins. Unless otherwise stated, deposits are non-refundable to the extent permitted by law because they reserve production time and resources.
- Invoices are payable within the timeframe stated on the invoice or agreement. If no timeframe is stated, payment is due within 14 days of the invoice date.
- We may suspend work, withhold deliverables, or delay production if invoices remain unpaid.
- Late payments may accrue interest at the maximum lawful rate or, if no maximum is specified, at 1.5% per month (18% annually), calculated from the due date until paid in full.
- You are responsible for all bank charges, wire transfer fees, currency conversion costs, chargeback fees, collection costs, and reasonable legal fees incurred in collecting overdue amounts, to the extent permitted by law.
- Any requested changes outside the agreed scope may be billed as additional work at our then-current rates.
Final source files, project files, or original artwork may be released only if expressly included in the scope or separately agreed in writing.
5. Cancellation and Refund Policy
Because our services involve custom creative work, cancellations and refunds are handled based on the stage of production and the work already completed.
- If you cancel before work begins, any refundable amount will be determined after deducting administrative costs and any non-recoverable expenses already incurred.
- If you cancel after work has started, you will be invoiced for all work completed up to the cancellation date, plus any approved expenses and applicable non-refundable amounts.
- Deposits are generally non-refundable once production has begun, except where required by applicable law or expressly stated otherwise in writing.
- No refund will be issued for completed work, approved milestones, or deliverables accepted by you, except where required by law.
- We may cancel or suspend services if you fail to provide required materials, approvals, or payments, or if your instructions are unlawful, unethical, or otherwise unacceptable to us.
Any refund, if approved, will be processed to the original payment method where reasonably possible and within a commercially reasonable timeframe.
6. Liability Limitations
To the fullest extent permitted by applicable Canadian law, Northern Frame Animation Studio Inc. shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or economic losses, including loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings, arising out of or related to these Terms or our services.
Our total aggregate liability for any claim arising out of or relating to our services, whether in contract, tort, negligence, strict liability, or otherwise, shall not exceed the total amount paid by you to Northern Frame Animation Studio Inc. for the specific service giving rise to the claim in the three (3) months preceding the event giving rise to liability, or CAD $1,000, whichever is greater, to the extent permitted by law.
We are not responsible for delays, errors, or failures caused by incomplete information from you, third-party service providers, hosting platforms, software limitations, network failures, or changes requested after approvals have been given.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, or any consumer rights that cannot be waived.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all preliminary materials, concepts, sketches, storyboards, style frames, animatics, working files, source files, and other creative outputs created by Northern Frame Animation Studio Inc. remain our property until full payment has been received.
Upon full payment, and subject to any separate written agreement, you are granted the rights expressly set out in the applicable proposal, invoice, or statement of work. If no specific assignment is agreed in writing, you receive a non-exclusive, non-transferable license to use the final approved deliverables for the agreed project purpose only.
We retain ownership of all pre-existing tools, templates, workflows, techniques, know-how, software, motion design methods, and general production processes used in creating the deliverables. We may also retain the right to display non-confidential portions of the work in our portfolio, showreels, website, social media, and promotional materials unless you and Northern Frame Animation Studio Inc. agree otherwise in writing.
You represent and warrant that any content you supply does not infringe third-party rights and that you have the authority to grant us any licenses necessary to perform the services.
